Terms of Service

These Terms govern access to and use of ShowNotePad, including its applications, websites, cloud services, transcription and classification features, and related support.

These Terms of Service ("Terms") govern access to and use of ShowNotePad, including its desktop application, Companion mobile application, websites, cloud services, transcription and classification features, and related support (collectively, the "Service").

The Service is provided by Steven Harriton, operating as Pro Event Tools ("Pro Event Tools," "ShowNotePad," "we," "us," or "our"), located in Canton, Georgia, United States.

By purchasing, accessing, or using the Service, you agree to these Terms. If you use the Service for a school, theater, business, or other organization, you represent that you are authorized to accept these Terms for that organization. If you do not agree, do not purchase or use the Service.

1. Eligibility and Organizational Authority

You must be at least 18 years old and authorized to act for the purchasing organization to create the owner account, purchase a subscription, or accept these Terms.

ShowNotePad supports adult and staff accounts and invited student accounts for students age 13 or older. Accounts for children under 13 and students whose age is unknown are not supported. Students do not independently purchase the Service, create a school organization, or authorize an organization to use the Service.

The organization is responsible for confirming that invited students are at least 13 and for providing notices, permissions, and recording disclosures required by its policies and applicable law.

2. Accounts, Teams, and Roles

One subscription covers one production team or workspace. The owner may invite authorized members and assign roles and permissions. You are responsible for the accuracy of account information, safeguarding credentials, and promptly removing access that is no longer authorized.

You may not share credentials outside the subscribed organization, permit unauthorized access, or use one subscription to operate unrelated production teams.

3. The Service

ShowNotePad helps production teams capture, transcribe, classify, synchronize, organize, complete, and delete rehearsal notes. Automated transcription and classification may be incomplete or inaccurate. Authorized users are responsible for reviewing information used for production decisions.

Audio notes are limited to two minutes per recording. ShowNotePad may enforce technical limits needed to protect service reliability and security.

4. Annual Subscriptions and Automatic Renewal

ShowNotePad education plans are annual, automatically renewing subscriptions. The price, billing interval, and plan presented during Stripe-hosted Checkout control the purchase.

Unless canceled before renewal, Stripe will charge the payment method on file for the next annual term at the then-applicable subscription price. Taxes may apply.

Education Early Access pricing remains available to an existing customer while that subscription remains continuously active. Canceling or allowing the subscription to lapse does not guarantee that the retired price will be available later.

5. Cancellation

The purchasing owner may cancel automatic renewal through the ShowNotePad owner portal.

Cancellation stops the next renewal. Unless applicable law requires otherwise, access continues through the end of the already-paid subscription period. Cancellation does not create an indefinite content archive; the normal retention rules continue to apply.

6. Refunds

Annual subscription charges are generally non-refundable except where required by law. Pro Event Tools may grant a refund or credit in an individual case at its discretion. A discretionary exception does not create an obligation to grant similar requests later.

7. Reasonable Use

ShowNotePad does not impose a fixed numeric member or device cap at launch. Ordinary rehearsal use by authorized members, including concurrent recording during a rehearsal, is permitted.

You may not use the Service for automated bulk generation, deliberate overload, resale, credential sharing outside the subscribed organization, bypassing technical or plan limits, security testing without written authorization, or activity that materially harms the Service or another customer.

ShowNotePad does not charge automatic usage overages at launch. If unusual use materially threatens service availability, security, or cost, Pro Event Tools may contact the owner, apply reasonable technical protections, or suspend the abusive activity.

8. Customer Content

As between you and Pro Event Tools, you retain your rights in notes, recordings, transcripts, tags, and other content submitted to the Service ("Customer Content").

You grant Pro Event Tools a limited, non-exclusive right to host, copy, transmit, transcribe, classify, synchronize, secure, support, retain, and delete Customer Content only as reasonably needed to provide, protect, and support the Service and comply with law.

You represent that your organization has the rights and permissions needed to submit Customer Content, including recorded voices. Do not use ShowNotePad to record private conversations or information that should not be shared with the authorized production team.

ShowNotePad does not use Customer Content or student information to train public AI models.

9. Retention, Deletion, and Export

Uploaded audio is retained for up to 10 days. Text notes are retained for up to 365 days from their server creation date unless an authorized user deletes them sooner.

When content expires or completes ShowNotePad's deletion process, it may no longer be recoverable or available for export. Minimal non-content synchronization or tombstone metadata may remain to prevent an offline device from restoring deleted material.

An owner or administrator may request reasonable help with retained team data through the support page while that data still exists.

We may verify the requester's authority before reviewing, exporting, correcting, or deleting team data.

10. Privacy and School Use

The ShowNotePad Privacy Policy explains how information is processed.

Schools and organizations are responsible for their own student, parent, district, employee, acceptable-use, and recording obligations. The School and Student Data Notice and School Data Privacy Addendum provide additional information for education customers.

If Pro Event Tools learns that an account belongs to a child under 13 or a person whose age cannot be confirmed as at least 13, ShowNotePad may revoke access, stop collection, notify the organization, and delete retained personal information subject to applicable law.

11. Acceptable Use

You may not:

  • violate law or another person's rights;
  • access or attempt to access another organization's data;
  • probe, scan, disrupt, reverse engineer, or bypass security or access controls except where such restriction is prohibited by law;
  • upload malicious code or content designed to damage the Service;
  • impersonate another person or misrepresent organizational authority;
  • use the Service to harass, exploit, or unlawfully monitor another person; or
  • interfere with service availability or authorized users.

12. Service Providers

Pro Event Tools uses service providers to operate ShowNotePad, including Cloudflare for hosting, storage, databases, serverless functions, and AI processing; Stripe for hosted Checkout, billing, invoices, and subscription management; Resend or another email provider for transactional email; and Apple for iOS distribution.

Payment card information is entered on Stripe-hosted pages and is not stored directly by ShowNotePad.

13. Intellectual Property

ShowNotePad, its software, interfaces, branding, documentation, and service content are owned by Pro Event Tools or its licensors and are protected by applicable intellectual-property laws. These Terms grant only a limited, revocable, non-transferable right to use the Service during an authorized subscription. They do not transfer ownership of ShowNotePad.

Third-party software notices are provided with the desktop application where required.

14. Availability, Changes, and Support

ShowNotePad is provided without a formal uptime or service-level guarantee. We may perform maintenance, correct errors, respond to security incidents, change features, or discontinue parts of the Service.

Our support target is a response within two business days, but this is a target and not a guaranteed response time.

15. Suspension and Termination

We may suspend or restrict access when reasonably necessary to address nonpayment, account compromise, unlawful activity, material abuse, threats to service security or availability, or a violation of these Terms. When reasonably possible, we will notify the purchasing owner and provide an opportunity to correct the issue.

Provisions that by their nature should survive termination, including payment obligations, content licenses needed to complete retention or deletion, disclaimers, liability limits, and dispute provisions, will survive.

16. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." PRO EVENT TOOLS DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

PRO EVENT TOOLS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AUTOMATED TRANSCRIPTS OR CLASSIFICATIONS WILL BE ACCURATE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE TERMS MAY NOT APPLY TO YOU.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRO EVENT TOOLS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRO EVENT TOOLS' TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT PAID FOR SHOWNOTEPAD BY THE CUSTOMER DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limits do not apply where prohibited by law.

18. Indemnification

To the extent permitted by law, the purchasing organization agrees to defend, indemnify, and hold harmless Pro Event Tools from third-party claims arising from the organization's unlawful use of the Service, Customer Content, lack of required recording or student permissions, or material breach of these Terms. This section does not require a public entity to assume an obligation it is legally prohibited from accepting.

19. Disputes, Arbitration, and Small Claims

Before filing a claim, you and Pro Event Tools agree to attempt to resolve the dispute informally for at least 30 days. Send a written description of the claim and requested resolution to [email protected].

Except for a claim eligible for small-claims court or a request for emergency injunctive relief, disputes arising out of or relating to these Terms or the Service will be resolved by binding arbitration on an individual basis, not in a class, collective, consolidated, or representative action.

The arbitration will be administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules or Commercial Arbitration Rules. The Federal Arbitration Act governs this arbitration provision. Unless the parties agree otherwise, the arbitration may be conducted remotely or in the county where the customer is located. Arbitration fees will be allocated under the applicable AAA rules and applicable law.

A customer may opt out of this arbitration provision by emailing [email protected] within 30 days after first accepting these Terms. The notice must identify the account and state that the customer is opting out of arbitration.

If applicable law prevents a public school or other government entity from agreeing to arbitration or another provision in these Terms, that entity should contact Pro Event Tools before purchase. A mutually signed addendum controls over conflicting language in these Terms.

20. Governing Law

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law principles, except where applicable law requires otherwise.

21. Changes to These Terms

We may update these Terms as the Service changes. The updated Terms will be posted at https://proeventtools.com/terms/ with a new effective date and version. When legally required or when a material change affects an existing subscription, we will provide notice or request renewed acceptance.

22. Electronic Communications

You consent to receive transactional account, billing, security, support, and legal communications electronically. Email is the formal legal-notice channel for ShowNotePad unless applicable law or a signed agreement requires another method.
